Bioservo Technologies

An extraordinary general meeting was held in Bioservo Technologies AB (publ), below the “Company", on December 14, 2023. At the meeting, it was resolved that the Company should enter into voluntary liquidation. The decision was unanimous.

Decision on voluntary liquidation 
The extra general meeting adopted the proposal from the board of directors and thus resolved that the Company should enter into voluntary liquidation in accordance with Chapter 25, Section 3 of the Swedish Companies Act. 

Liquidation date
The resolution regarding liquidation will take effect from the date when the Swedish Companies Registration Office (Sw Bolagsverket) appoints a liquidator.

Estimated distribution date
The distribution of any liquidation proceeds will take place after the notice period for unknown creditors has expired, or – at the latest – in conjunction with the presentation of the liquidator's final report. The board of directors finds it challenging to provide anything more than a rough estimate regarding the distribution date, but, hopefully the distribution can take place during the third or fourth quarter of 2024.

Estimated distribution amount
The board's preliminary assessment is that the potential distribution to shareholders will amount to maximum SEK 5 million. However, also in this case, it is difficult to predict the size of the distribution amount, as it depends on both the costs associated with the business and liquidation process up to the distribution date, and the proceeds from the sale of the Company's assets.

Proposed liquidator 
Olov Kling, lawyer at Advokatfirman Lindahl, was proposed as liquidator.

Information and announcements regarding the liquidation process will be published on the Company's website www.bioservo.com.
