The Board of Directors of Valuno Group AB (publ) (the "Company") has set the subscription price for the proposed set-off share issues to Netgraph Project Management Services and Interlace Sweden AB at SEK 0.1274 per share, corresponding to the volume-weighted average price (VWAP) of the Company's share on NGM Nordic SME during the period 22 June–10 July 2026 (15 trading days).
At this price, SEK 12,740,000 of Netgraph's claim and SEK 12,740,000 of Interlace Sweden AB's claim against the Company will be set off, corresponding to 100,000,000 newly issued shares each (200,000,000 shares in total). The proposals will be put forward for resolution at the extraordinary general meeting, which also serves as the first control meeting, on 5 August 2026.
