Jerovit Investment Oy, PM Ruukki Oy and holoborg Oy have previously undertaken to comply with an 18-month transfer restriction concerning the shares they hold in Summa Defence Plc, effective from the completion of the merger between Meriaura Group Plc (currently Summa Defence Plc) and Summa Defence Oy (currently Summa Holding Oy). Pursuant to the terms of the transfer restriction undertakings, any pledge of the company's shares requires the consent of the Board of Directors of Summa Defence Plc.

Summa Defence Plc has received a notification on 4 September 2025 from one of its largest shareholders, Jerovit Investment Oy, stating that it has pledged 15,000,000 shares it owns in Summa Defence Plc to institutional lenders as collateral for financing it has secured. Under the terms of the pledge, the pledgee is entitled to engage in intraday trading of the pledged shares. The Board of Directors of Summa Defence Plc has granted its consent to the pledge under the aforementioned terms and has approved the release of the necessary number of shares held by Jerovit Investment Oy from the transfer restriction to enable the pledge. The Board has further decided that such consent shall also apply to any future pledges made under similar terms.

The company's Board of Directors has also granted a similar permission to release shares from the transfer restriction for the purpose of pledging to two other major shareholders of the company, PM Ruukki Oy and holoborg Oy. However, these shareholders have not, to date, exercised such right.
