HANZA publishes information document regarding non-cash issue in connection with the acquisition of BMK Group GmbH

MARKN.

HANZA AB (publ) (“HANZA” or “the Company”) publishes an information document regarding the non-cash issue of shares to the sellers of BMK Group GmbH ("BMK"), which was resolved by the Board of Directors on 7 January 2026 in accordance with the authorisation of the Extraordinary General Meeting on 21 November 2025 (the "Non-cash Issue"). The information document has been registered with the Swedish Financial Supervisory Authority and is available on the Company's website.

The Information Document
In connection with the Non-Cash Issue, the Company has prepared an information document (the "Information Document") in accordance with Article 1.5 ba of Regulation (EU) 2017/1129 of the European Parliament and of the Council (EU) 2017/1129 of 14 June 2017 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market, and repealing Directive 2003/71/EC, as amended (the "Prospectus Regulation").

The Information Document has been prepared in accordance with the requirements of Annex IX to the Prospectus Regulation and is only available in Swedish.

HANZA announces today that the Information Document has been registered with the Swedish Financial Supervisory Authority and is available on the Company's website, www.hanza.com.
