Divio Technologies

In connection with the Company's rights issue of units that was announced 2022 as well as through the directed issue to underwriters, Divio issued a total of 31,343,970 warrants of series TO 1. Each warrant of series TO 1 entitles the holder to subscribe for one (1) new share in Divio during the exercise period that runs from 7 June 2023 until 21 June 2023. The subscription price for warrants of series TO 1 has been set at SEK 0.15 per share. If all warrants of series TO 1 are exercised, the Company will receive approx. SEK 4.7 million in proceeds, before deduction of transaction related costs.

Upon full exercise of warrants of series TO 1, the number of shares in Divio will increase by 31,343,970 shares to a total of 190,102,980 shares and the share capital will increase by SEK 3,134,397.00 to SEK 19,010,298,00. The dilution at full utilization amounts to approximately 15.92 percent of the votes and 16.49 percent of the capital.

Important dates

• 7 June 2023: The exercise period begins
• 19 June 2023: Last day of trading in warrants
• 21 June 2023: The exercise period ends
• 22 June 2023: Planned communication of the outcome of the warrant exercise
• 10 July 2023: Planned conversion of interim shares to ordinary shares
