Transfer of own shares in Bilia AB (publ)

MARKN.

The Board of Directors of Bilia AB (publ) (“Bilia”) has, based on the authorization granted at the Annual General Meeting on April, 24, 2024, decided to transfer 28,000 own shares in Bilia to Lunds Bil i Varberg Holding AB on March 3, 2025, at a price of 143,07 per share. The transfer was completed today. The reason for deviating from the shareholders’ preferential rights is that the shares are being transferred as part of the purchase price for Bilia’s acquisition of Lunds Bil i Varberg AB, with Lunds Bil i Varberg Holding AB as the seller. Completion of the transaction took place on March 3, 2025. For more information about the acquisition of Lunds Bil i Varberg AB, please see the press release dated Augusti 27, 2025. The price per share corresponds to the average share price on Nasdaq Stockholm for ten trading days prior to payment of the purchase price.

After the transfer, Bilia holds 3 745 992 own shares.

Bilia’s Fuel Business comprises fuel sales and car washes in Sweden.
