TalkPool

Options are allocated primarily based on employees' profit contribution. The purchase price has been set at EUR 0.05 per option (five Euro cents), calculated using the Black-Scholes formula with a 1.3-year period, 2.25% risk-free interest rate, 45% volatility, and a strike price of EUR 2.50. The Options will have no value if Talkpool's share price is below EUR 2.50 at end of June 2027.

Unlike most option programs, this program does not dilute existing shareholders. Instead, Magnus Sparrholm has personally committed to selling up to 500,000 shares in this second round. Legal and tax advice has been provided by Balmer-Etienne (Switzerland) and Noerr (Germany). A tax ruling covering all four sub-programs through 2031 has been approved by the Graubünden tax authorities in Switzerland.

The four sub-programs are:

• 15 March 2024 - 30 June 2025 - completed
• 15 March 2026 - 30 June 2027 - launched
• 15 March 2028 - 30 June 2029
• 15 March 2030 - 30 June 2031

Option holders who exercise their rights may retain or sell the acquired shares after a twelve-month holding period. Exercise of the second sub-program opens on 1 July 2027, with a target execution date of 1 November 2027 and a final deadline of 31 January 2028.

The program is designed to incentivize employees, board members, and advisors committed to strengthening Talkpool's operational and financial performance. The original program was announced on 24 April 2024. Further details will be published on Talkpool's website during Q2 2026.
