According to the principles for the appointment of Sagax's nomination committee, which was decided at the Annual General Meeting 2021, the chairman of the board has convened a nomination committee for the 2024 Annual General Meeting

According to the instructions, Sagax's nomination committee shall consist of four members, of which one member shall be the chairman of the board. The three largest shareholders in terms of votes as of September 30, 2023, shall each appoint a representative to form the nomination committee together with the chairman of the board.

Nomination committee for the 2024 Annual General Meeting consists of:

• Björn Alsén, nominated by David Mindus
• Erik Salén, nominated by the Salén family
• Olof Nyström, nominated by The Fourth Swedish National Pension Fund
• Staffan Salén, Chairman of Board of Directors of Sagax

Björn Alsén was elected chairman of the nomination committee.

The nomination committee is to prepare and propose for the Annual General Meeting 2024:

• Election of chairman of the Annual General Meeting
• Election of chairman of the board, other board members and number of board members
• Fee to the chairman of the board and fees to other board members, as well as compensation for committee work, election of auditor and possible deputy auditor and determination of the auditor's fee, and
• Instructions for the nomination committee including principles of the structure of the nomination committee for the Annual General Meeting 2025
