Nomination Committee's proposal regarding Board of Directors of Rugvista Group AB (publ)
The Nomination Committee for Rugvista Group AB (publ) proposes an expansion of the Board to seven Board members, with no deputies, for resolution at the Annual General Meeting (AGM). Jennie Högstedt Björk is proposed as new Board member. All current Board members are proposed for re-election and Martin Benckert is proposed for re-election as Chairperson of the Board.
The Board members proposed for re-election are Martin Benckert (member and chairperson since 2023), Ludvig Friberger (member since 2016), Magnus Dimert (member since 2018), Hanna Graflund Sleyman (member since 2022), Ebba Ljungerud (member since 2023) and Patrik Berntsson (member since 2023).
”We propose one new member who will add to and further strengthen the joint experience and expertise of the Board in particular within the product development and assortment areas”, says Gunnar Mattsson, Chairperson of Rugvista Group AB (publ)’s Nomination Committee.
Jennie Högstedt Björk
Jennie Högstedt Björk was born 1975 and has a B.Sc in economics from Stockholm University. She currently provides consultancy services through her own company Skagsören Affärsutveckling AB and has previously been CEO for Odd Molly, held different roles within the H&M Group, and board assignments för inter alia Boomerang International and Miss Mary of Sweden. The Nomination Committee’s assessment is that Jennie Högstedt Björk is independent in relation to the company’s major shareholders as well as in relation to the company and its executive management. Jennie Högstedt Björk does not hold any shares in Rugvista Group AB (publ).

The other proposals of the Nomination Committee will be presented in the notice of the AGM. The AGM will be held on May 21, 2025.
