Payment by Debt Set-Off and Deviation from Preferential Rights

The payment for the shares will be made by offsetting receivables, which makes a rights issue impractical. The reason for deviating from the shareholders' preferential rights is to strengthen the company's financial position and reduce its debt, which the board considers to be in the best interest of all shareholders.

Determination of Subscription Price

The subscription price for the shares in the Debt-Equity Swap is SEK 0.06 per share and has been determined through an agreement between the company and the creditors, negotiated on an arm's length basis.

Dilution and Change in Share Capital

Through the share issue, the company's share capital will increase by a maximum of SEK 316,667, from SEK 8,542,812 to SEK 8,859,479. The number of shares will increase by 31,666,667, from 854,281,236 to 885,947,903. The dilution effect for existing shareholders amounts to approximately 3.6%.
