Update regarding the FDI-process in relation to the directed issue of new shares of SEK 196 million to The Hargreaves Family No. 14 Settlement
On 18 March 2025, the board of directors in GomSpace Group AB (publ), reg. no. 559026-1888 (“GomSpace” or the “Company”), announced that the Company had reached an agreement to carry out a directed share issue of SEK 196 million through the issuance of 28,000,000 new shares to its major shareholder (The Hargreaves Family No. 14 Settlement), subject to clearance or confirmation from Foreign Direct Investment authorities (the “FDI-Authorities”).
The Hargreaves Family No. 14 Settlement is in the process of seeking approval from all relevant FDI-Authorities (the “FDI-Process”), which includes Sweden, Denmark, and Luxembourg. The FDI process varies across jurisdictions, and the latest update indicates it is expected to be completed in all jurisdictions within two to three months. This should be understood as an administrative delay to the original expected timeline, with no underlying issues involved. While it is not anticipated, the rules do allow for further investigations, which could take longer depending on the circumstances.
CEO, Carsten Drachmann comments: “As announced in earlier press releases, I view this capital increase as both timely and strategically important. With defence spending rising across Europe and the Nordics, GomSpace is well-positioned to capture new opportunities in satellite-based capabilities including Resilience, Cyber Security, and ISR (Intelligence, Surveillance, and Reconnaissance). This investment will strengthen our balance sheet, support accelerated growth, and ensure we are ready to meet increasing demand, secure larger government contracts, and improve delivery lead times”. Carsten Drachmann adds: “Having additional capital available as we move into the autumn aligns well with our plans”.
The Company will provide additional information regarding the FDI-Process (if relevant) and closing of the directed issue of new shares, respectively.
