Genova Property Group

Reference is made to Genova Property Group AB (publ)’s (the "Company” or "Genova”) announcement on 12 September 2024, according to which the Company, in connection with the contemplated transaction of new subordinated green capital securities with an expected issue amount of SEK 300 million (the “New Green Capital Securities”), invited the holders of the Company’s outstanding green capital securities with ISIN SE0015245519 (the "Outstanding Capital Securities”) to participate in a tender offer as further described in the tender information document dated 12 September 2024 (the “Tender Information Document”) subject to the terms and conditions set forth in the Tender Information Document (the “Tender Offer”) and that the Tender Offer amounts to not less than SEK 250 million.

In accordance with the Tender Information Document, the Company hereby announces that the Tender Offer will expire today 17 September 2024, upon book close of the book building process for the New Green Capital Securities, unless the Tender Offer is extended, re-opened, withdrawn or terminated at the sole and absolute discretion of the Company. The settlement of the Tender Offer is expected to occur on 24 September 2024. The Tender Offer remains conditional upon the consummation of the issue of the New Green Capital Securities (as defined in the Tender Information Document).

ABG Sundal Collier AB and Nordea Bank Abp have been mandated as dealer managers for the tender offer. Gernandt & Danielsson Advokatbyrå KB have been mandated as legal advisor.
