Status update regarding Frontwalker's acquisition of E-Consulate (PVT) Ltd
Frontwalker AB (publ) ("Frontwalker") announced on 15 December 2025 that the company had entered into a share purchase agreement with the shareholders of E-Consulate (PVT) Ltd ("E-Consulate") regarding the acquisition of 100 per cent of the shares in Goldcup 38726 AB (now Scand Tech AB), reg. no. 559561-6078 (the "Company"), which in turn will own all shares in E-Consulate (the "Acquisition"). In the press release on 15 December 2025, it was stated that the Acquisition was expected to be completed by February 2026 at the latest. On 27 February 2026, Frontwalker announced that the timeline for the completion had been changed and that the Acquisition was expected to be completed by 16 March 2026 at the latest. Frontwalker today, on 16 March 2026, announces that the timeline for the completion of the Acquisition is adjusted such that the Acquisition is expected to be completed by 26 March 2026 at the latest.
Frontwalker hereby provides an update regarding the timeline for the completion of the Acquisition.
As announced on 15 December 2025, Frontwalker has entered into a binding share purchase agreement with the shareholders of E-Consulate regarding the Acquisition. According to the then communicated timeline, the Acquisition was expected to be completed by February 2026 at the latest. On 27 February 2026, Frontwalker announced that the timeline for the completion had been changed and that the Acquisition was expected to be completed by 16 March 2026 at the latest. Frontwalker today, on 16 March 2026, announces that the timeline for the completion of the Acquisition is adjusted such that the Acquisition is expected to be completed by 26 March 2026 at the latest. The change in the timeline is attributable to the fact that certain administrative measures that constitute conditions for the completion of the Acquisition, including, among other things, the establishment of bank accounts, have taken longer than expected.
Frontwalker continues to view the Acquisition very positively and the opportunities that the Acquisition of E-Consulate represents for Frontwalker's continued growth and development.
