Buyback of B shares in Embracer during week 45, 2025. The buyback program is now complete and has been closed.

Between 3 November 2025 and 6 November 2025 Embracer Group AB (“Embracer”) (LEI code: 549300RFXXKT652HB549) has repurchased in total 520,739 own B shares (ISIN: SE0023615885) as part of the share buyback program initiated by the board of directors on 18 September 2025. Thus, shares with a total value of approximately SEK 500 million have been repurchased, and as a result the program is being closed.

The share buybacks are a part of the SEK 500 million program that Embracer announced on 18 September 2025. The buyback program which ran between 19 September 2025 and no later than 2 December 2025, made its final purchases of shares on 6 November 2025 and is now being closed. The program has been carried out in accordance with the EU Market Abuse Regulation 596/2014 (MAR) and the European Commission's Delegated Regulation 2016/1052 (the Safe Harbor Regulation).

The purpose of the buybacks within the buyback program has been to reduce the share capital of Embracer in order to optimize Embracer's capital structure and thereby contribute to increased shareholder value. Therefore, the board of directors intends to propose that the repurchased shares under the program are cancelled by way of a reduction of Embracer's share capital no later than at the annual general meeting 2026.

All acquisitions have been carried out on Nasdaq Stockholm by SB1 Markets on behalf of Embracer.

Following the above acquisitions, Embracer’s holding of own shares as of 6 November 2025 amounts to 5,586,499 B shares (4,830,742 B shares have been purchased under the program and 755,757 B shares have been clawback shares transferred to Embracer). The total number of shares in Embracer on the date of this press release amounts to 228,777,965, of which 9,000,000 are A shares and 219,777,965 are B shares.
