Wicket Gaming's Extraordinary General Meeting approved new share issues, reduction of share capital and election of new Board member

Resolution to amend the Articles of Association

The EGM resolved to lower the limits for share capital in the Articles of Association to a minimum of SEK 12,800,000 and a maximum of SEK 51,200,000. The change in capital limits is part of the reduction of share capital, see below.

Resolution to reduce the share capital

The EGM resolved to reduce the share capital by SEK 3,329,421.80. The reduction shall be carried out without cancellation of shares by reducing the quotient value of the share from one (1) SEK to 0.80 SEK. The reduction amount shall be used for allocation to unrestricted equity to be used in accordance with a decision by the general meeting. After the reduction, the company's share capital, before the new share issues as set out below, amounts to SEK 12,485,331.75 divided into 16,647,109 shares. The quotient value of the share thus decreases from SEK 1 to SEK 0.80.

In order for the reduction of the share capital to be effected without the Swedish Companies Registration Office's permission, the two new issues totaling 12,500,000 shares reported below must be subscribed for a number of at least 4,161,778 shares. As previously communicated, the issues are fully subscribed through subscriptions and subscription commitments.

Approval of the Board of Directors' resolution on a directed issue of shares

The EGM resolved to approve the Board of Directors' resolution of 1 August 2023 on a directed share issue of not more than 11,250,000 shares at the issue price of SEK 0.80.

Resolution on directed issue of shares

The EGM resolved on a directed share issue of not more than 1,250,000 shares at the issue price of SEK 0.80. Eligible for subscription are the Chairman of the Board Erik Nerpin and the Board member, as well as CEO, Eric De Basso.

Election of new Board member and resolution on Board fees

The EGM resolved to elect Christopher Lagerqvist Nerpin as a new Board member and that the new member shall receive an annual Board fee of SEK 75,000.
