About the Share Issue

Wicket Gaming AB (publ) ("Wicket Gaming" or the "Company") announced on August 1 that the Company, subject to approval by the Extraordinary General Meeting, resolved on a directed share issue of 12.5 million shares for a proceeds of SEK 10 million. The new share issue and reduction of the share capital were approved at the Extraordinary General Meeting on 4 September. The issue proceeds have been paid and registration with the Swedish Companies Registration Office is ongoing.

The Board of Directors of Wicket Gaming has now, with the support of authorization, decided to increase the rights issue by SEK 3 million on the same terms. The new share issue relates to 3,750,000 shares at a price of SEK 0.80 per share. The new share issue is directed to about ten investors, most of whom are not shareholders in the Company. The largest positions are subscribed by, among others, JJV Invest AB and Minh Nguyen.

The issue proceeds enable Wicket Gaming to further improve the solidity and working capital base, continue the investment in EdTech in particular and to bring forward plans for new company acquisitions.

The number of shares in Wicket Gaming after the previous share issue amounts to 29,147,109 after registration. The now additional 3,750,000 shares mean that the number of shares will amount to 32,897,109. The increase of 3,750,000 shares entails a dilution of 11.4 percent, calculated as 3,750,000 shares divided by the total number of shares in the Company (32,897,109) after registration of the now decided extension of the rights issue.

In the current financial climate and taking into account our capital needs, it would not be justifiable to decline the opportunity to expand the rights issue.
