Information regarding special examiner in Crown Energy AB
The Administrative Court has rejected Crown Energy AB’s appeal of the Swedish Companies Registration Office’s decision to appoint a special examiner. The Company will not appeal further, meaning the examiner will now be appointed and the review process can proceed.
Crown Energy AB (“the Company”) has been informed that the Administrative Court in Härnösand has rejected the appeal previously submitted by the Company regarding the Swedish Companies Registration Office's decision to appoint a special examiner.
The Company will not appeal further.
At an extraordinary general meeting in September 2024, shareholders representing more than one tenth of all shares in the Company voted in favor of a shareholders proposal to appoint a special examiner. This meant that the conditions for submitting an application to the Swedish Companies Registration Office for a special examination in accordance with the proposal were fulfilled. Following the meeting, such an application was submitted by the shareholders, and the Companies Registration Office subsequently appointed a special examiner.
The Company appealed the decision to the Administrative Court in Härnösand with the intention of ensuring that an independent and suitable individual would be appointed to the assignment. The appeal specifically concerned the appointment of a special examiner from Gothenburg, which the Company viewed as less practical compared to a Stockholm-based examiner, given that the Company’s head office is located in Stockholm.
Crown Energy will fully cooperate with the special examiner in the continued process.
