Boozt continues share buyback programme under the Safe Harbour Regulation

MARKN.

The Board of Directors of Boozt has resolved that the remaining part of the ongoing share buyback programme of up to SEK 300 million will be carried out under the safe harbour provisions of the EU Market Abuse Regulation (MAR) and Commission Delegated Regulation (EU) 2016/1052 (the Safe Harbour Regulation). The programme is otherwise unchanged.

The programme was launched on 24 April 2026, authorised by the Annual General Meeting on 23 April 2026, and was expanded from SEK 200 million to SEK 300 million in August 2026. Under the programme, Boozt has repurchased 1,669,308 shares for a total amount of SEK 221 million. The remaining part of the programme amounts to up to SEK 79 million. Since the Capital Markets Day in 2023, Boozt has repurchased own shares for a total of more than SEK 1 billion.

The purpose of the share buyback programme is to reduce the company’s share capital and to secure the company’s obligations related to its long-term incentive programmes.

Repurchases will be managed by Nordea Bank Abp, which makes its trading decisions regarding the timing of the repurchases independently of Boozt.

The remaining part of the programme will be conducted in accordance with the following terms and conditions:

  • Repurchases shall be made on Nasdaq Stockholm in accordance with Nasdaq Stockholm’s Rulebook for Issuers (the “Rulebook”), MAR and the Safe Harbour Regulation.
  • Repurchases may be made from 4 November 2026 until the 2027 Annual General Meeting on 22 April 2027.
  • Repurchases will be executed at a price per share within the prevailing price range (i.e., the interval between the highest bid price and lowest ask price) as registered on Nasdaq Stockholm, and at a price no higher than the higher of the price of the most recent independent trade and the highest current independent bid.
  • Repurchases will be made in compliance with the volume restrictions for acquisitions of own shares as stated in the Rulebook and the Safe Harbour Regulation.
  • A maximum of 2,164,778 shares may be repurchased, and the total number of shares repurchased may not result in the company’s shareholding (including holdings of C-shares) exceeding 10 per cent of the total number of shares in the company at any given time. The amount to be paid for repurchased shares may in the aggregate not exceed SEK 79 million.
  • Payment for shares shall be made in cash.

Boozt holds 4,035,222 own shares, of which 1,744,867 are C-shares, representing 6.5% of the share capital. The total number of shares in Boozt amounts to 62,000,000, of which 1,744,867 are C-shares.

Repurchases will be disclosed in weekly press releases no later than the end of the seventh trading day following execution. Progress of the programme can also be followed here: https://www.booztgroup.com/shareholders.
