Berner Industrier

The Annual General Meeting of Berner Industrier AB resolved on April 29, 2025 to issue a maximum of 400,000 warrants. Each warrant entitles the holder to subscribe for one Class B share in the company during the period from 1 November 2028 up to and including 30 November 2028 for a subscription price of SEK 114.83. The subscription price corresponds to 150 percent of the volume-weighted average price of the Company's Class B shares on Nasdaq Stockholm during the period from and including October 20, 2025 up to and including October 31, 2025.
All warrants are held by the parent company, Berner Industrier AB, of which 223,500 warrants have subsequently been transferred to key personnel in the Group on market terms. In total, 19 people are included in the program, including the company's CEO, CFO, MDs of subsidiaries and other key employees. 176,500 warrants are held by the company for later transfer to additional key employees within the Group, for example in connection with acquisitions.
