Arion Bank: Meeting announcement to the holders of EUR covered bond series ISIN XS2391348740

Notice of a covered bondholder meeting to the holders (the “Covered Bondholders”) of the €300,000,000 Series 2021-1 Tranche 1 0.050 per cent. Fixed Rate Covered Bonds due 5 October 2026 consolidated with €200,000,000 Series 2021-1 Tranche 2 0.050 per cent. Fixed Rate Covered Bonds due 5 October 2026 (ISIN XS2391348740) presently outstanding (the “2026 Covered Bonds”).

Arion Bank hf. (the “Issuer”) hereby gives notice to the Covered Bondholders of the 2026 Covered Bonds, that, pursuant to the provisions of the agency agreement dated 16 July 2021 (the “Agency Agreement”), made between the Issuer and The Bank of New York Mellon, London Branch, the Issuer has convened a meeting (the “Meeting”) of the Covered Bondholders to be held via teleconference on 8 March 2024 for the purpose of considering and, if thought fit, passing the resolution set out in the Annex of the attachment to this Notice, with the implementation of the resolution being subject to satisfaction of the conditions set out in paragraph 9(b) thereof and which resolution will be proposed as an Extraordinary Resolution in accordance with the provisions of the Agency Agreement. The Meeting will commence at 10.00 a.m. (London time) on 8 March 2024.
